These terms govern your use of our services. By accessing or using our services, you agree to be bound by these terms.

Acceptance of Terms

By accessing, downloading, installing, or using any software products, services, or platforms provided by Aenric Technologies LLC, doing business as Aenric Technologies ("Aenric Technologies", "we", "us", or "our"), a limited liability company registered in New Mexico, United States ("Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Aenric Technologies LLC.

If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. In such case, "you" or "your" refers to such entity.

If you do not agree to these Terms, you must not access or use our Services. Your continued use of our Services after changes to these Terms become effective constitutes acceptance of the updated Terms.

Description of Services

Aenric Technologies LLC provides advanced software engineering and platform services tailored for modern enterprises. Our core offerings include:

  • Software development and product engineering
  • Autonomous DevOps and AI-powered observability solutions
  • Human-in-the-loop AI system design and lifecycle support
  • Blockchain-enabled trust network architecture
  • Cyber resilience and zero-trust security programs
  • Ongoing platform maintenance, operations, and technical support
  • Strategic consulting and advisory engagements related to the above services

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We may also impose limits on certain features or restrict access to parts of our Services without notice or liability.

User Accounts and Registration

To access certain features of our Services, you may be required to create an account and provide accurate, current, and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Ensuring that your account information remains accurate and up-to-date
  • Notifying us immediately of any unauthorized use of your account

You agree not to share your account credentials with any third party. We are not liable for any loss or damage arising from your failure to comply with these security obligations. We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activities.

Data Collection and Usage

Website Data Collection: This website (www.aenric.com) does not use analytics or marketing cookies, and we do not collect data for marketing or analytics purposes through this website. We only use essential cookies necessary for website functionality and security.

Product and Service Data Collection: Our software products and services may include analytics, marketing, advertising, or tracking capabilities only if specifically requested and configured by clients for their own business purposes. We do not include these features by default. When such features are requested:

  • Clients control what data is collected and how it is used
  • Clients are responsible for compliance with applicable privacy laws for their use of such features
  • We act as a service provider and follow client instructions regarding data handling
  • Specific data collection practices will be documented in the applicable service agreement

Use License and Restrictions

Subject to your compliance with these Terms, Aenric Technologies LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business purposes. This license does not include:

  • Resale or commercial use of our Services without our express written consent
  • Collection and use of any product listings, descriptions, or prices
  • Derivative use of our Services or any content contained therein
  • Downloading or copying account information for the benefit of another merchant
  • Using data mining, robots, or similar data gathering and extraction tools

You agree not to: (a) reverse engineer, decompile, or disassemble our software; (b) remove any proprietary notices or labels from our Services; (c) interfere with or disrupt the integrity or performance of our Services; (d) attempt to gain unauthorized access to our Services or related systems; (e) use our Services to transmit any viruses, malware, or harmful code; (f) use our Services in violation of any applicable laws or regulations.

Intellectual Property Rights

All content, features, functionality, and materials available through our Services, including but not limited to software code, text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of Aenric Technologies LLC or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

The Aenric Technologies name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Aenric Technologies LLC or its affiliates. You must not use such marks without our prior written permission.

If you provide us with any feedback, suggestions, ideas, or other submissions regarding our Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into our Services without any obligation to compensate you.

Work Product and Intellectual Property Assignment: For custom development, consulting, and professional services engagements, the ownership of work product and intellectual property rights will be governed by the specific service agreement or Statement of Work executed between you and Aenric Technologies LLC. Unless otherwise specified in a written agreement:

  • Work product, deliverables, custom code, documentation, and materials created specifically for you in the course of providing Services shall become your property upon full payment of all fees. In the event of a payment dispute, intellectual property rights will transfer upon resolution of the dispute and receipt of all undisputed amounts. During any payment dispute, we retain ownership of work product and you receive a limited license to use completed deliverables for which payment is not disputed.
  • Aenric Technologies LLC retains all rights to pre-existing intellectual property, methodologies, tools, frameworks, and general knowledge used in providing Services
  • You grant Aenric Technologies LLC a non-exclusive, perpetual license to use anonymized, aggregated data and general learnings from the engagement for improving our services and developing new capabilities
  • Any third-party intellectual property incorporated into work product remains subject to the applicable third-party license terms

For detailed intellectual property terms specific to your engagement, please refer to your Master Services Agreement or Statement of Work.

User Content and Data

Our Services may allow you to upload, store, process, or transmit content, data, or materials ("User Content"). You retain ownership of your User Content, but by uploading or transmitting User Content through our Services, you grant us a worldwide, non-exclusive, royalty-free license to:

  • Use, reproduce, modify, and display your User Content to provide and improve our Services
  • Store and process your User Content in our systems and data centers
  • Create backups and maintain copies of your User Content for disaster recovery purposes
  • Share your User Content with third-party service providers who assist in delivering our Services

You represent and warrant that: (a) you own or have the necessary rights to all User Content you upload; (b) your User Content does not violate any third-party rights, including intellectual property, privacy, or publicity rights; (c) your User Content does not contain any viruses, malware, or harmful code; (d) your User Content complies with all applicable laws and regulations.

We reserve the right to remove, suspend, or delete any User Content that violates these Terms or is otherwise objectionable, in our sole discretion, without prior notice.

Payment Terms and Billing

Certain features of our Services may require payment of fees. When you purchase our Services:

  • You agree to pay all fees associated with your use of our Services
  • Fees are charged in advance on a subscription basis or as otherwise specified
  • All fees are non-refundable unless otherwise stated or required by law
  • We reserve the right to change our pricing at any time, with notice to existing customers
  • You are responsible for providing accurate billing and payment information
  • We may suspend or terminate your access to paid Services for non-payment

If you dispute any charges, you must notify us within 30 days of the charge date. We will investigate and resolve disputes in good faith. All fees are exclusive of applicable taxes, which you are responsible for paying.

Payment Processing: We use Stripe, Inc. ("Stripe") as our payment processor to securely process payments. By making a payment, you agree to Stripe's Terms of Service (https://stripe.com/legal) and Privacy Policy (https://stripe.com/privacy). Stripe may collect, process, and store your payment information in accordance with their privacy policy. We are not responsible for Stripe's services or their handling of your payment information, except as required by applicable law.

Currency and International Payments: Unless otherwise specified in a service agreement, all fees are quoted and payable in United States Dollars (USD). For international clients paying in currencies other than USD, the following applies:

  • Currency conversion will be performed at the exchange rate in effect on the payment date
  • You are responsible for any currency conversion fees, wire transfer fees, or international transaction fees charged by your bank or payment provider
  • For recurring services, exchange rate fluctuations may result in variations in the amount charged in your local currency
  • If your service agreement specifies payment in a currency other than USD (e.g., GBP, EUR), that currency will be used for all invoicing and payments under that agreement

Service Availability and Uptime

Hosted Services Definition: For purposes of service level commitments, "hosted services" refers to software applications, platforms, or systems that we operate and maintain on cloud infrastructure or servers for continuous client access via the internet. This includes SaaS (Software as a Service) products, cloud-hosted applications, and ongoing platform services that we manage. Hosted services do not include: one-time deliverables, consulting services, custom development projects delivered as standalone software, or services deployed and operated by the client on their own infrastructure.

We strive to ensure our Services are available 24/7, but we do not guarantee uninterrupted, error-free, or secure access to our Services. Our Services may be unavailable due to:

  • Scheduled maintenance and updates
  • Unscheduled maintenance or emergency repairs
  • Technical failures, bugs, or errors
  • Network issues or internet connectivity problems
  • Force majeure events beyond our reasonable control
  • Third-party service provider outages or failures

We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice, for any reason. We are not liable for any damages or losses resulting from Service unavailability or interruptions.

Service Level Agreements (SLAs): For certain Services, we may offer specific Service Level Agreements that define uptime guarantees, response times, and performance metrics. SLAs, if applicable, will be specified in your service agreement, Statement of Work, or service plan documentation. In the absence of a specific SLA:

  • We target 99.5% uptime for hosted services, excluding scheduled maintenance windows
  • We aim to respond to critical support requests within 4 business hours
  • We aim to respond to non-critical support requests within 2 business days
  • Performance metrics and response times may vary based on service type and configuration

Any SLA credits or remedies will be specified in your service agreement. We will provide reasonable notice of scheduled maintenance that may affect service availability.

Service-Specific Disclaimers

Certain Services we provide involve emerging technologies and complex systems. The following disclaimers apply to specific service categories:

AI and Machine Learning Services:

  • AI models and algorithms may produce inaccurate, biased, or unexpected results
  • AI systems require ongoing monitoring, validation, and adjustment
  • We do not guarantee specific accuracy rates, performance metrics, or outcomes from AI systems
  • You are responsible for validating AI outputs and ensuring they meet your requirements
  • AI models may be subject to regulatory changes and compliance requirements that affect their use
  • We are not liable for decisions made based on AI-generated outputs without human review

Blockchain and Distributed Ledger Services:

  • Blockchain transactions may be irreversible once confirmed on the network
  • Cryptocurrency and token values are highly volatile and subject to market conditions
  • Blockchain networks may experience congestion, delays, or forks that affect transaction processing
  • Regulatory requirements for blockchain and cryptocurrency services vary by jurisdiction and may change
  • You are responsible for compliance with applicable laws and regulations governing blockchain and cryptocurrency use
  • We are not liable for losses resulting from blockchain network issues, smart contract vulnerabilities, or regulatory changes

Security and Cyber Resilience Services:

  • No security system is 100% secure or immune to all threats
  • Security threats evolve continuously, and new vulnerabilities may emerge
  • We cannot guarantee that your systems will be completely protected from all security threats
  • Security effectiveness depends on proper implementation, configuration, and ongoing maintenance
  • You are responsible for implementing recommended security measures and maintaining security best practices
  • We are not liable for security breaches that occur despite implementation of recommended security measures
  • Security assessments and recommendations are based on information available at the time and may not identify all vulnerabilities

General Professional Services Disclaimer: Our Services are provided for informational, advisory, and implementation purposes. We do not provide legal, financial, or regulatory advice. You should consult with qualified professionals in those fields for advice specific to your situation. Our recommendations and deliverables are based on industry best practices and our professional judgment, but we do not guarantee specific business outcomes or results.

Warranties

Service Warranties: We warrant that Services will be performed in a professional and workmanlike manner consistent with industry standards. For deliverables, we warrant that they will conform to specifications set forth in the applicable service agreement for a period of ninety (90) days from the date of delivery and acceptance ("Warranty Period").

If you notify us in writing of any non-conformity during the Warranty Period, we will, at our option, either: (i) correct the non-conforming deliverable; (ii) replace the non-conforming deliverable; or (iii) refund the fees paid for the non-conforming deliverable. This warranty does not apply to defects caused by your modifications, misuse, unauthorized repairs, or failure to implement our recommendations.

EXCEPT AS EXPRESSLY SET FORTH ABOVE, WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AENRIC TECHNOLOGIES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use our Services
  • Any unauthorized access to or use of our servers or your account
  • Any interruption or cessation of transmission to or from our Services
  • Any bugs, viruses, trojan horses, or the like that may be transmitted through our Services
  • Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content
  • Any conduct or content of third parties on our Services

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Professional Services Liability Limitations: For professional services engagements (including software development, consulting, and advisory services), the following additional limitations apply:

  • Our liability for professional services is limited to the fees paid for the specific service giving rise to the claim
  • We are not liable for decisions made by you based on our recommendations, advice, or deliverables
  • We are not liable for third-party products, services, or technologies that we integrate, recommend, or use in providing Services
  • We are not liable for delays or failures caused by your actions, inactions, or failure to provide necessary information or approvals
  • We are not liable for any loss of data, revenue, or business opportunities resulting from your use of our Services or deliverables

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless Aenric Technologies LLC, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of our Services, including any User Content you provide
  • Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
  • Your violation of any applicable laws or regulations
  • Any fraudulent, abusive, or illegal activity conducted through your account

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us in defending such claims.

Termination

We may terminate or suspend your account and access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

  • Your right to use our Services will immediately cease
  • We may delete your account and all associated data
  • You remain liable for all amounts due up to and including the date of termination
  • All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability

You may terminate your account at any time by contacting us or using account deletion features in our Services. Upon termination, we will delete your account and data in accordance with our Privacy Policy, subject to legal and operational requirements.

Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or our Services shall be resolved through binding arbitration in accordance with the rules of a recognized arbitration organization, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights or to prevent irreparable harm.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If any provision of this dispute resolution section is found to be unenforceable, the remaining provisions will remain in full effect.

Changes to These Terms

We reserve the right to modify these Terms at any time, in our sole discretion. When we make material changes:

  • We will post the updated Terms on this page with a new "Last updated" date
  • We will notify you via email or through our Services for significant changes
  • We may require you to acknowledge the updated Terms before continuing to use our Services

Your continued use of our Services after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using our Services and may terminate your account.

General Provisions

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Aenric Technologies LLC regarding your use of our Services and supersede all prior agreements and understandings.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms or any rights hereunder without restriction.
